These Terms are governed by the laws of the State of Texas. Any disputes must be resolved in the applicable state or federal court nearest to Dallas, Texas. Mars United may amend, modify or terminate these terms at any time, with or without notice, at its sole discretion.
9. Indemnity
You agree to defend, indemnify, and hold harmless The Commerce Hub, its affiliates, directors, employees, business partners and agents from any and against all claims, damages, losses, liabilities, and expenses resulting from:
- Your breach of these Terms or The Commerce Hub Privacy Policy, your use of materials or features available on the Site or Content or
- Your violation of applicable laws or agreements.
10. Confidentiality
You agree to maintain the confidentiality of proprietary or business information belonging to The Commerce Hub, including but not limited to sales information, marketing strategies, client lists, legal and financial information discussed or disclosed in the course of interaction. Exceptions to this confidentiality obligation include:
- Information is already in the public domain.
- Disclosures mandated by law or court order (provided The Commerce Hub is given prior notice).
